GuestLogix, Inc., a leading global provider of ancillary-focused merchandising, payment and business intelligence technology to airlines and the passenger travel industry, today announced it has completed its acquisition of OpenJaw Technologies Limited, which is now a unique division of GuestLogix. The two entities entered a definitive agreement on December 2, 2014, under which the Company would acquire OpenJaw for a combination of cash and shares issued to the vendors for a total transaction value of US$41.2 million, plus performance considerations and adjustments for OpenJaw’s cash balance. The completion of the acquisition successfully broadens GuestLogix’ capabilities, as well as provides immediate expansion into new travel verticals.

With this announcement, GuestLogix gains OpenJaw’s 30+ international travel brands as customers from hotels to loyalty programs to car rental companies and to airlines enhancing the Company’s profile and reach. GuestLogix’ portfolio of retailing solutions, which are predominantly used onboard travel operators, are now expanded to include OpenJaw’s web-based merchandising solutions that improve travel companies’ online retailing capabilities through booking engines and other travel-related channels. By fusing the two brands’ award-winning platforms, the travel industry now has its first pure-play, end-to-end ancillary revenue and retailing platform that can be leveraged from the first point of interaction with a traveler and throughout the entire customer travel lifecycle.
